Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Qurbo’s websites and services, including www.qurbo.ai
(marketing site), and any other websites, domains, subdomains, APIs, and related services we operate (collectively, the “Service”).
The Service is provided by Qurbo Pte. Ltd. (“Qurbo,” “we,” “us,” or “our”), located at 68 Circular Road, #02-01, 049422, Singapore.
By creating an account, joining a waitlist, accessing the Service, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
1) Acceptance and eligibility
Eligibility. You must be at least 18 years old (or the age of legal majority where you live) and able to form a binding contract to use the Service.
Compliance with laws. You will use the Service in compliance with all applicable laws and regulations, including privacy, marketing, and consumer protection laws that may apply to your QR codes and destinations.
Sanctions/export. You may not use the Service if you are subject to sanctions or located in a jurisdiction where providing the Service would be unlawful.
2) Service description
What Qurbo does. Qurbo is a QR platform that lets you create QR codes and related experiences, including (as available in the Service) redirect links, destinations, verification flows, and analytics.
Domains and redirects. Qurbo may provide:
QR codes that encode a link (for example, a qrb.sh short link or another domain/URL),
redirect functionality (a scan may redirect to a destination you set),
verification and safety steps (for example, a QR may be required to be verified before it redirects to your chosen destination), and
analytics (for example, scan/click counts, device or referrer signals).
Beta / pre-launch. Parts of the Service may be offered as beta, early access, or waitlist-only. Features may be added, changed, limited, or removed over time.
No guarantee of results. We do not guarantee any specific performance outcomes (for example, scans, conversions, deliverability, or analytics completeness).
3) Accounts and security
Account registration. You may need an account to use the Service. You must provide accurate information and keep it up to date.
Authentication. We may use third-party authentication providers (for example, WorkOS/AuthKit) to manage sign-in and account sessions.
Security responsibilities. You are responsible for:
maintaining the confidentiality of your credentials and devices,
all activity that occurs under your account,
promptly notifying us if you suspect unauthorized access.
Team/workspace access. If the Service supports multiple users or workspaces, you are responsible for managing access permissions for your organization and ensuring your users comply with these Terms.
4) Acceptable use and prohibited conduct
You agree not to use (or allow others to use) the Service to:
Break the law or harm others. Engage in illegal, harmful, or abusive activity.
Deceive or impersonate. Create QR codes/links for phishing, impersonation, fraud, or misleading practices, including misleading destinations or “bait-and-switch” redirects.
Distribute malware or harmful content. Transmit malware, spyware, ransomware, or other malicious code; or link to content that installs or promotes such code.
Spam or unsolicited marketing. Send spam, facilitate unsolicited communications, or violate anti-spam laws (including via QR destinations or QR-driven campaigns).
Exploit or interfere. Probe, scan, test, or bypass the security of the Service; interfere with or disrupt the Service; or attempt to access systems or data you are not authorized to access.
Abuse infrastructure. Overload, scrape, or programmatically access the Service in a way that exceeds reasonable request volumes or violates any rate limits (including through automated generation of large volumes of links or scans).
Infringe rights. Infringe intellectual property or privacy rights, including using logos, trademarks, images, or content without permission.
Violate privacy laws. Collect, track, or process personal data unlawfully, including using QR destinations or embedded scripts in ways that require consent you do not have.
Financial crime / sanctions evasion. Use the Service to facilitate money laundering, terrorist financing, sanctions evasion, or other financial crime.
Reverse engineer. Reverse engineer, decompile, or attempt to extract source code, trade secrets, or underlying algorithms from the Service (except to the extent such restriction is prohibited by law).
We may investigate suspected violations and may suspend or terminate your access (and disable QRs/links) as described in these Terms.
5) User content and licenses
5.1 Your content
“User Content” means content you submit to the Service, such as destination URLs, QR metadata, campaign names, text, images, logos, brand assets, and any content you upload or configure.
You retain ownership of your User Content as between you and Qurbo.
5.2 License you grant to Qurbo
You grant Qurbo a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and otherwise use your User Content only as needed to provide, maintain, secure, and improve the Service, including generating QR code images, enabling redirects, showing previews, operating any verification flows, and producing analytics.
5.3 Responsibility for your content and destinations
You control destinations. You are responsible for the URLs and content that your QR codes and links point to, including any third-party sites.
Public scanning. QR codes and short links may be scanned/accessed by the public (or anyone you distribute them to). Do not use the Service for secrets or sensitive data unless you have designed an appropriate secure flow.
Required rights. You represent and warrant that you have all rights necessary to submit and use your User Content and to direct end users to your destinations.
5.4 Feedback
If you provide suggestions, ideas, or feedback, you grant Qurbo the right to use them without restriction or compensation.
6) Intellectual property
Qurbo IP. The Service (including software, designs, templates, analytics presentation, and any proprietary QR-generation methods) is owned by Qurbo or its licensors and is protected by intellectual property laws.
License to you. Subject to these Terms, Qurbo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes (or personal creator use) during the term of your account.
Restrictions. You may not copy, modify, distribute, sell, lease, or sublicense the Service, nor circumvent or disable security features, except as expressly permitted by these Terms.
Your brand assets. Qurbo does not claim ownership of your trademarks or logos. You grant us permission to display them only as necessary to provide the Service (for example, rendering branded experiences you configure).
7) Third-party services
The Service may integrate with or rely on third-party services (for example, WorkOS/AuthKit for authentication and Stripe for payments, and infrastructure providers that host or operate components of the Service).
Your relationship with third parties. Your use of third-party services may be subject to their separate terms and policies.
No responsibility for third parties. To the maximum extent permitted by law, Qurbo is not responsible for third-party services, including outages, errors, or data handling by those providers, except to the extent caused by Qurbo’s own breach of these Terms.
8) Fees, billing, and taxes
Free and paid features. Some features may be free, and some may require payment. We may introduce new paid offerings or change which features are free or paid over time.
Fees and billing terms shown at purchase. Prices, billing frequency, included features/limits, and any trial or promotional terms (if offered) will be presented to you at checkout or in the Service at the time you select them.
Billing provider. We use Stripe to process payments. By purchasing, you authorize us (via Stripe) to charge your payment method for applicable fees, taxes, and renewals.
Auto-renewal. If your purchase is a subscription, it will automatically renew unless you cancel before renewal.
Taxes. Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, duties, or levies, except those based on our net income.
Price changes. We may change prices or introduce new fees. Any price changes will apply to future billing periods and we will provide notice as required by law.
Non-payment. If payment fails or is overdue, we may suspend or limit access to paid features until payment is resolved.
10) Refunds & cancellations
This section explains cancellations, changes in access after cancellation/non-payment, and refunds.
9.1 If Qurbo is not charging publicly (pre-launch/waitlist)
No charge for waitlist access. Joining a waitlist or requesting access does not create a payment obligation unless you are explicitly presented with a paid checkout and you complete it.
If you paid for early access. If we accept payments for pilots/early access before general availability, any cancellation/refund terms will be shown to you at the time of purchase.

9.2 How to cancel
You can cancel a paid subscription from your account/billing settings in the Service (if available) or by contacting care@qurbo.ai.
9.3 When cancellation takes effect
Unless stated otherwise at checkout or required by law, cancellation takes effect at the end of the current billing period. You will keep access to paid features until the period ends.
9.4 Downgraded access after you stop paying
If your paid subscription ends (including due to cancellation or non-payment), we may downgrade your account to limited no-cost access. The exact limitations may change over time and will be reflected in the Service, but may include:
existing links/QR codes continue to resolve;
you cannot create new links/QR codes;
you cannot change the destination of existing links/QR codes; and
analytics access is limited (for example, to only the most recent scan/click data).
We may disable links/QR codes in some situations (for example, policy violations, legal requirements, safety risks, or abuse prevention).
9.5 Refund policy
To the maximum extent permitted by law, subscription fees are non-refundable and we do not provide prorated refunds or credits for partial periods or unused time, except where required by law or to correct billing errors.
9.6 Billing errors
If you believe you were charged in error (for example, a duplicate charge), contact care@qurbo.ai and we will investigate. If we confirm an error by Qurbo or Stripe processing, we will correct it (which may include a refund).
9.7 Chargebacks
If you initiate a chargeback without first contacting us to resolve a billing issue, we may suspend your account while the dispute is pending.
10) Suspension and termination
Your right to stop using the Service. You may stop using the Service at any time. If you have a paid subscription, cancellation is handled under the Refunds & Cancellations section.
Our right to suspend/terminate. We may suspend or terminate your access to the Service (and disable your QR codes/links) if:
you violate these Terms,
we believe your use risks harm, fraud, or abuse,
we must do so to comply with law or requests from authorities,
your payment is overdue (for paid features).
Effect of termination. Upon termination:
your right to use the Service ends,
we may disable or remove your QR codes/links and access to your content,
any provisions that should reasonably survive termination (including payment obligations, disclaimers, limitation of liability, indemnity, and governing law) will survive.
11) Disclaimers
To the maximum extent permitted by law:
Service provided “as is.” The Service is provided on an “as is” and “as available” basis. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Availability and uptime. We do not guarantee uninterrupted availability, error-free operation, or that QR codes/links will always resolve without interruption.
Analytics are best-effort. Any analytics, counts, or reports are informational and may be incomplete, delayed, or inaccurate due to factors outside our control (for example, network behavior, caching, bots, or third-party outages).
Third-party destinations. We are not responsible for third-party websites or services that your QR codes/links direct users to, including their content, availability, or legality.
No professional advice. The Service does not provide legal, financial, tax, marketing, or compliance advice.
12) Limitation of liability
To the maximum extent permitted by law:
Excluded damages. Qurbo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities, even if we have been advised of the possibility of such damages.
Liability cap. Qurbo’s total liability arising out of or related to the Service will not exceed the greater of (a) the total fees paid by you to Qurbo for the Service in the 12 months immediately before the event giving rise to the claim, or (b) SGD 100.
Basis of bargain. You agree that the limitations in these Terms reflect a reasonable allocation of risk.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13) Indemnity
You will indemnify, defend, and hold harmless Qurbo, its affiliates, and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
your User Content, QR codes, links, destinations, campaigns,
your violation of these Terms or applicable law,
your infringement of any intellectual property, privacy, or other rights of a third party, or
your misuse of the Service.
We may assume control of the defense of any matter subject to indemnification, and you agree to cooperate.
14) Governing law and disputes
Governing law. These Terms are governed by the laws of Singapore, without regard to conflict of laws principles.
Dispute resolution. Before filing a claim, you agree to contact us at care@qurbo.ai and attempt to resolve the dispute informally.
Jurisdiction and venue. If a dispute cannot be resolved informally, you agree that the courts of Singapore will have exclusive jurisdiction and venue, and you submit to their personal jurisdiction.
15) Changes to these Terms
We may update these Terms from time to time.
Posting updates. We will post the updated Terms and update the “Last updated” date.
Material changes. If we make material changes, we will provide reasonable notice (for example, by email or in-app notice) before the changes take effect.
Continued use. By continuing to use the Service after updated Terms take effect, you agree to the updated Terms.
